Gain Perspective
Due diligence is performed to create a "no surprises" situation when going through a proposed acquisition or disposal of interest. SEG has the perspective of working with a number of companies to provide quality of earnings review, assess tax impliciations, analyze IT, prepare for an IPO, or optimize an integration. Here is an example of a representative client success:
SEG was engaged by a family of targeted private equity funds to assess one of their investments in a national bridal gown maker. The company was concerned about the validity of the forecasted assumptions in conjunction with historical results, as well as the ability of the finance and IT functions to scale to support desired growth. SEG performed due diligence of the potential acquisition's validation of valuation assumptions and evaluated the tax ramifications of the investment and considered scalability of critical back office functions. SEG was able to move quickly and complete the due diligence within two weeks, enabling a fast deal. We raised critical tax considerations and identified critical areas for improvement and investment. The deal was successfully completed.
